What changed
SOP 50 10 8.1 took effect October 1, 2026
It applies to every 7(a) application issued an SBA loan number on or after that date. Change-of-ownership rules now sit in Appendix 15, and financial due diligence is part of the primary underwriting.
Business valuations must be requested by and prepared for the lender by a credentialed, independent appraiser (ASA, CBA, ABV, CVA or BCA). The version with technical updates leaves an in-house option only at a Business Purchase Price of $350,000 or less with no close buyer-seller relationship.
Initial Acquisitions and Business Expansions with a Business Purchase Price of $3 million or more also need a Quality of Earnings report with a cash proof covering the trailing 12 months and the last two fiscal years.
Total debt supporting the purchase, including seller debt not on full standby, is limited to the business valuation. Anything paid above it has to be equity, and QoE earnings drive the DSC.
Two reports
Built for the credit file, not the buyer's pitch deck
SBA business valuation
An independent conclusion of value for the business being acquired, ordered by the lender.
- Scope set from your order: asset or stock purchase, assets included, debt assumed
- Seller financials reconciled to tax returns and IRS transcripts
- Normalized earnings with every adjustment explained
- Conclusion of value against the Business Purchase Price
- Analyst qualifications and signed certification
Quality of Earnings
Lender-side financial due diligence on Initial Acquisitions and Business Expansions of $3 million or more.
- Cash proof: bank activity reconciled to the income statement and tax return, TTM and two fiscal years
- Add-backs and adjustments documented one by one
- Revenue quality: customer concentration and contract continuity
- Earnings figure you can drop into the DSC calculation
How it works
You order. The borrower uploads. We reconcile. A professional signs.
- You order
Send the deal basics and your scope: asset or stock purchase, what's in the sale, assumed debt. The engagement is with your institution.
- The borrower uploads
We send the buyer or seller a secure request list: returns, statements, bank statements, payroll and the purchase agreement.
- We reconcile, a professional signs
Software ties the numbers together and drafts. A credentialed valuation analyst reviews the work, forms the conclusion and signs it.
- You get the report and answers
A report for the credit file, plus written answers if SBA or your reviewers ask questions about it later.
Why lenders would use it
Designed around what credit officers need
Speed
The slow part of most valuations is chasing and tying out documents. Software does that work, so the analyst's time goes to judgment.
Independence
Fixed fees never contingent on the value or on loan approval, a conflict check on every order, and no buyer-side work on deals we value. Read the policy.
Fixed price
One price per report type agreed before work starts, so the cost can go into the sources-and-uses on day one.
Every deal tracked
Each order shows where it stands: documents outstanding, reconciliation, analyst review, delivered.
